1. Introduction

Welcome to Zig Stock (“the Service”), operated by Zig Stock Limited (“we”, “us”, “our”).
These Terms and Conditions (“Terms”) govern your access to and use of the Zig Stock platform, website, and associated services provided through https://zigstock.com.

By creating an account or using Zig Stock, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you must not use the Service.

2. Definitions

For clarity and consistency, the following terms have the meanings below:

• “Service” refers to the Zig Stock software platform, associated website, mobile or web applications, and related support or communication tools.

• “User” means any individual or business accessing or using the Service, including salon owners, managers, and employees.

• “Account” means the user profile created on Zig Stock to access subscription features and manage stock or business data.

• “Subscription” means a paid or trial plan providing access to specific Service features, billed on a recurring monthly or annual basis through Stripe.
  

3. Eligibility and Business Use

Zig Stock is intended for business use only and is not directed at individuals under the age of 18.
By registering, you confirm that you are acting in a business capacity and have authority to bind your organisation to these Terms.

4. Free Trials

We may, at our discretion, offer new users a free trial period (typically 14 days, unless otherwise stated) to evaluate the Service.

During the free trial:

• No charges will be applied until the trial expires.

• You may cancel at any time before the end of the trial period through your account settings.

• If you do not cancel, your selected subscription plan will automatically convert to a paid plan, and billing will begin through Stripe at the applicable rate.

Free trials are limited to one per organisation unless otherwise authorised by Zig Stock.

5. Subscriptions and Billing

5.1 Payment and Renewal

Zig Stock offers monthly and annual subscription plans. All payments are processed securely by Stripe.
By subscribing, you authorise recurring payments via your chosen payment method until cancelled.

5.2 Changes to Plans

You may upgrade, downgrade, or cancel your subscription at any time within your account settings.
Changes will take effect at the next billing cycle unless otherwise stated.

5.3 Late or Failed Payments

If a payment fails or is not received within the due period, Zig Stock reserves the right to suspend or limit account access until payment is received.
Repeated failed payments may result in termination of your Subscription and data access.

6. Refunds and Cooling-Off Period

6.1 Cooling-Off Period

Under the UK Consumer Contracts Regulations (2013), business users are generally not entitled to the 14-day cooling-off period applicable to individual consumers.
However, Zig Stock voluntarily offers a 14-day grace period for new subscriptions purchased online.

If you cancel within 14 days of your initial purchase and have not used the Service beyond setup or evaluation, you may request a full refund by contacting [email protected].

6.2 Ongoing Subscriptions

Renewed subscriptions are non-refundable once the billing period has started, except as required by law.

7. Service Access and Availability

We aim to provide uninterrupted access to Zig Stock but cannot guarantee it will be available at all times.
Temporary interruptions may occur due to maintenance, upgrades, or technical issues.

We will make reasonable efforts to notify users in advance of planned downtime.

8. Service Modifications and Pricing

Zig Stock reserves the right to:

• Modify, add, or remove features of the Service;

• Update pricing or subscription tiers;

• Introduce new functionality or integrate third-party tools.

We will provide reasonable advance notice (normally at least 30 days) via email or in-app notification before implementing material changes or pricing adjustments.

Your continued use of the Service after such updates constitutes acceptance of the new terms or pricing.

9. Acceptable Use

You agree not to:

• Use the Service for unlawful or fraudulent purposes;

• Copy, distribute, or reverse-engineer any part of Zig Stock;

• Interfere with system security or other users’ access;

• Upload harmful code, malware, or unauthorised integrations.

Violation of this clause may result in immediate suspension or termination.

10. Suspension and Termination

We may suspend or terminate your account without liability if:

• You fail to make payment for a subscription;

• You breach these Terms or engage in unlawful behaviour;

• Continued service poses a risk to Zig Stock’s operations or other users.

You may cancel your subscription and close your account at any time.
Upon termination, your right to access the Service will end, but we will retain your data in accordance with our Privacy Policy.

11. Data and Privacy

We process personal and business data in accordance with our Privacy Policy, which forms part of these Terms.
By using the Service, you consent to such processing and warrant that all information you provide is accurate and lawful.

Data is securely stored and processed using trusted third-party providers, including Stripe (payments) and Digital Ocean (DO) (hosting).

12. Intellectual Property

All intellectual property rights in the Zig Stock platform, branding, software, and associated content belong to Zig Stock Limited or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business operations only.
You may not reproduce, resell, or create derivative works without prior written permission.

13. Third-Party Services

Zig Stock integrates with or relies on certain third-party providers, including:

14. Limitation of Liability

To the fullest extent permitted by law:

• Zig Stock Limited is not liable for indirect, consequential, or incidental damages;

• Our total liability for any claim in a 12-month period shall not exceed the total fees paid by you in that period.

Nothing in these Terms limits liability for death, personal injury, or fraud.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Kingdom, including the jurisdictions of England, Wales, Scotland, and Northern Ireland.
Any disputes will be subject to the exclusive jurisdiction of the courts located in England and Wales.

16. Changes to These Terms

We may update these Terms periodically to reflect legal, technical, or operational changes.
The latest version will always be available on our website, with the “Last Updated” date displayed at the top.
Your continued use of the Service after updates constitutes acceptance of the revised Terms.
